1. Acceptance of these terms

These Terms & Conditions ("Terms") govern your use of manukatar.com and blogs.manukatar.com (the "Website") and any digital marketing services provided by Digital Marketing Consultancy Services ("we", "us", "our"), operated by Manu Katar.

By using the Website or engaging our services, you agree to these Terms. If you do not agree, please do not use the Website or our services.

2. Our services

We offer digital marketing services, which may include:

• Search engine optimization (SEO)
• Website design and development
• Social media marketing
• Google Ads management
• Instagram and Facebook (Meta) Ads management
• WhatsApp marketing
• Email marketing

The specific services, deliverables, timelines and fees for your project are set out in a written quote, proposal or agreement (the "Agreed Scope"). Information on the Website is a general description only and is not an offer that binds us.

3. Quotes, scope and changes

• A project starts only when we both confirm the Agreed Scope in writing (an email or WhatsApp confirmation is sufficient) and any advance payment is received.
• Work outside the Agreed Scope needs a separate quote or a written change request.
• Timelines depend on you providing content, access and approvals on time. Delays on your side may move delivery dates.

4. Fees and payment

• Fees, the payment schedule and any advance are stated in the Agreed Scope.
• Our fees are separate from advertising spend. Budgets for Google Ads, Meta Ads or similar platforms are paid by you directly to the platform, unless we agree otherwise in writing.
• Fees are exclusive of applicable taxes (such as GST) and third-party costs (for example, domain names, hosting, premium plugins, stock media, and email or messaging platform subscriptions), unless stated otherwise.
• Invoices are payable within the period stated on the invoice. We may pause work on overdue accounts until payment is received.
• No refunds. All payments are final and non-refundable. Once a payment has been made, it will not be refunded in whole or in part — including if a project is paused, cancelled or ended early, or if results differ from your expectations. Please confirm the Agreed Scope carefully before you pay. This does not affect any rights you have under applicable law that cannot be waived.

5. No guarantee of results

Digital marketing outcomes depend on many factors outside our control, including search engine and social media algorithms, competition, advertising platform policies, your product, pricing, and market conditions. Accordingly:

• We do not guarantee any particular search ranking, traffic level, follower count, lead volume, conversion rate, return on ad spend or sales;
• Any timelines or projections we share are estimates based on experience, not promises;
• SEO in particular is a long-term effort, and results usually take months to appear.

What we do commit to is delivering the agreed services with reasonable skill and care.

6. Your responsibilities

To help us deliver good results, you agree to:

• Provide accurate information, content, brand assets and timely approvals;
• Give us the access we need (for example, to your website, ad accounts and social pages), and keep ownership of those accounts in your name;
• Make sure you own or have permission to use everything you give us — including text, images, logos, videos and customer data;
• Comply with applicable laws and platform rules for your industry and advertising claims, including any special rules for regulated categories such as health, finance or education;
• Hold valid consent from the people you contact before we send email or WhatsApp messages on your behalf, and honor opt-out requests.

7. Third-party platforms and tools

Our services often rely on platforms we do not own or control, such as Google, Meta (Facebook, Instagram and WhatsApp), email service providers, hosting companies and website platforms. These platforms can change their algorithms, prices, features and policies — or suspend accounts, ads or pages — at any time.

We are not responsible for such changes or decisions, though we will help you respond to them as part of the Agreed Scope where reasonable. Your use of these platforms is subject to their own terms.

8. Intellectual property

• You keep ownership of the materials you provide to us.
• Once you have paid in full, you own the final deliverables created specifically for you (such as website designs, ad creatives and written content), subject to the points below.
• We keep ownership of our pre-existing tools, templates, code libraries, frameworks, methods and know-how, and grant you a non-exclusive license to use them as part of your deliverables.
• Third-party assets (such as fonts, stock images, themes and plugins) remain subject to their own licenses.
• Unless you ask us in writing not to, we may mention the project (without revealing confidential information) as an example of our work.

9. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for the project. This does not apply to information that is public, was already known to the receiving party, or must be disclosed by law.

10. Acceptable use of the Website

When using the Website, you agree not to:

• Use it for any unlawful purpose;
• Attempt to gain unauthorized access to it or interfere with its operation;
• Send spam or malicious code through our forms; or
• Copy, scrape or republish our content without permission.

11. Third-party links

The Website may link to third-party sites for your convenience. We do not control or endorse them and are not responsible for their content or practices.

12. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special or consequential losses — including loss of profits, revenue, data or business opportunity — arising from the use of the Website or our services;
• Our total liability for any claim relating to a service is limited to the fees you paid us for that specific service;
• We are not liable for losses caused by events outside our reasonable control, including platform outages or policy changes, internet failures, natural events, or government action.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from materials or instructions you provide (for example, content that infringes someone's rights) or from your breach of these Terms or applicable law.

14. Termination

• Either of us may end an engagement by giving written notice, subject to any minimum term or notice period in the Agreed Scope.
• You will pay for work completed and third-party costs incurred up to the date of termination. Fees already paid are non-refundable (see section 4).
• Once all dues are paid, we will hand over the completed deliverables and, where relevant, remove our access to your accounts.
• We may suspend or end services immediately if you breach these Terms, do not pay on time, or ask us to do something unlawful or against platform policies.

15. Changes to these terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Changes do not alter the Agreed Scope of a project already underway unless both of us agree.

16. Governing law and disputes

These Terms are governed by the laws of India. If a dispute arises, we will first try to resolve it in good faith through discussion. If that does not work, the courts of competent jurisdiction in India will have jurisdiction over the matter.
